The Issuer awarded the Reporting Person 200,000 time-based restricted stock units ("RSUs"), each of which represents a contingent right to receive one share of the Issuer's common stock, that will vest in four equal installments on May 20, 2024, May 20, 2025, May 20, 2026 and May 20, 2027, in each case subject to early termination and adjustment as provided in the applicable award agreement.
