Explanation of Responses:

1. Represents a one-time bonus restricted stock unit ("RSUs") grant to reporting person for services as an executive officer for the year ended December 31, 2023, and each RSU represents a right to receive one share of common stock or the cash equivalent thereof.

2. The RSUs granted on February 22, 2024 vest in three equal installments commencing on the first anniversary of the grant date.

Remarks:

This amendment is being filed solely to correct the inadvertent typographical errors in the number of RSUs granted on February 22, 2024, as reported on Table II of the original Form 4 filed with the Securities and Exchange Commission on February 26, 2024 (the "Original Form 4"), and the total securities owned after such transactions as reported in the Original Form 4. All other information in the Original Form 4 was accurate.
