Item 3.01 | Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing. |
As previously disclosed on August 6, 2024, DUET Acquisition Corp. (the “Company”) received a written notice from the Listing Qualifications Department (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that the Company is not in compliance with Listing Rule 5450(a)(2) (the “Minimum Public Holders Rule”), which requires the Company to have at least 400 total holders for continued listing on the Nasdaq Global Market. In accordance with Nasdaq Listing Rule 5810(c)(2)(G), the Company submitted a plan to regain compliance with the Minimum Public Holders Rule (the “Plan”).
On October 18, 2024, the Company received a written notice (the “Notice”) indicating that based on the Staff’s determination that the Staff only has discretion to grant an extension until April 16, 2025, and in the context of a reasonably long timeline to consummate a de-SPAC merger, given that the Company has not filed a registration statement in connection with its proposed business combination (the “Business Combination”) with Fenix 360 Pte. Ltd., the Staff believes that it is unlikely that the Company will complete the Business Combination by January 19, 2025 (36 months from the date of the Company’s IPO registration statement on Form S-1) and regain and sustain compliance with the Rule. Therefore, the Staff determined to delist the Company’s securities from Nasdaq unless the Company timely requests a hearing before a Hearings Panel (the “Panel”).
Accordingly, the Company intends to timely request a hearing before the Panel. The hearing request will stay the suspension of the Company’s securities and the termination of registration of the securities with Nasdaq as required by the rules of the Securities and Exchange Commission pending the Panel’s decision and, therefore, Nasdaq’s notice has no immediate effect on the listing of the Company’s common stock, units or warrants on Nasdaq. The time and place of any hearing before the Panel will be determined by the Panel. There can be no assurance that the Panel will grant the Company’s request for continued listing.
