| Explanation of Responses: |
| 1. In connection with the closing of the initial public offering of Integrated Rail and Resources Acquisition Corp. (the "Issuer"), 1,515,160 shares of Class B common stock, par value $0.0001 ("Class B Common Stock") held by DHIP Natural Resources Investments, LLC were cancelled in connection with the Issuer's issuance of the same number of shares of Class B Common Stock to its anchor investors. As a result, the Reporting Person now beneficially owns 4,234,840 shares of Class B Common Stock of the Issuer. Shares of Class B Common Stock will automatically convert into shares of the Issuer's Class A common stock at the time of the Issuer's initial business combination on a one-for-one basis, subject to adjustment pursuant to certain anti-dilution rights and have no expiration date, as described in the Issuer's registration statement as filed with the Securities and Exchange Commission (File No. 333-256381) under the heading "Description of Securities - Founder Shares". |
