Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On January 3, 2025, Qomolangma Acquisition Corp. (the “Company”) notified The Nasdaq Stock Market (“Nasdaq”) that the Company seeks a voluntary delisting. The Company expects that Nasdaq will file a Form 25 with the U.S. Securities and Exchange Commission (the “Commission”) to delist its securities, and that the delisting will become effective ten days after Nasdaq files the Form 25 with the Commission to complete the delisting. The Company thereafter expects to file a Form 15 with the Commission to terminate the registration of its securities under the Securities Exchange Act of 1934, as amended.
As previously reported by the Company on Form 8-K filed with the Commission on August 30, 2024, on August 26, 2024, the Company received written notice from the Listing Qualifications Staff of Nasdaq (the “Staff”) indicating that the Company no longer complied with the Nasdaq Capital Market continued listing criteria set forth in Listing Rule 5550(a)(3), which requires the Company to maintain a minimum of 300 public holders (the “Notice”). The Notice provided the Company with 45 calendar days, or until October 10, 2024, to submit a plan to regain compliance. On November 13, 2024, the Staff issued a follow-up letter to the Company advising that the Staff determined that it was unable to grant the Company’s request for continued listing on Nasdaq following its review of the materials submitted on October 15, 2024 in response to the Notice. The Staff’s letter advised that it would initiate procedures to delist the Company’s securities from Nasdaq. The Company’s board determined that it would not appeal this determination. Trading of the Company’s Common Stock was suspended by Nasdaq at the opening of business on November 19, 2024.
Item 7.01 Regulation FD Disclosure.
On January 6, 2025, the Company issued a press release to announce the notice to Nasdaq and that it will redeem all of its outstanding public shares of common stock, par value $0.0001 (the “public shares”), effective as of December 27, 2024, because the Company will not consummate an initial business combination within the time period required by its Amended and Restated Certificate of Incorporation. A copy of an announcement by the Company related to such determination is furnished as Exhibit 99.1 to this Current Report on Form 8-K. The information in this Item 7.01 and Exhibit 99.1 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as expressly set forth by specific reference in such a filing.
