1. Represents the weighted average purchase price of multiple transactions, with shares purchased at prices ranging from $3.495 to $3.50 per share. The reporting person hereby undertakes to provide, upon request by the U.S. Securities and Exchange Commission staff, the issuer or a stockholder of the issuer, full information regarding the number of shares purchased at each separate price.

2. On May 17, 2021, the reporting person was granted time-based restricted stock units, each of which represents a contingent right to receive one share of the issuer's common stock and which vest in full on May 17, 2022, subject to Mr. Hruby's continued employment through the vesting date.
