2. Represents the withholding of shares of the Company's common stock for tax purposes in connection with the vesting of RSUs previously granted, which does not constitute an actual sale or other open market transaction.

3. RSUs granted on November 15, 2024, vesting in six equal installments on each of December 1, 2024, June 1, 2025, December 1, 2025, June 1, 2026, December 1, 2026 and June 1, 2027, subject to the Reporting Person's continued employment with the Company through the applicable vesting date.
