1. 4,226 of these shares represent restricted stock which vests 3 years from the date of grant. Shares are subject to forfeiture (i) upon termination of employment prior to vesting, and (ii) if certain performance earnings per share targets established pursuant to BOKF Executive Incentive Plan are not met.

2. Prior to the Date of Event Requiring Statement, the reporting person acquired 1,240.2673 shares of BOKF common stock under the BOKF 401(k) plan. The information in this report is based on a plan statement dated as of December 31, 2021.
