1. A restricted share unit ("RSU") entitles the holder to receive one Common Share (or cash equal to the value thereof) for each vested RSU. The restricted share units that vested on April 1, 2024 were settled in Common Shares of the Issuer.

2. On April 1, 2022, the reporting person was granted 40,000 RSUs that vested in three installments as follows: 13,333 on April 1, 2022, 13,334 on April 1, 2023, and 13,333 on April 1, 2024, subject to the terms and conditions of the Perpetua Resources Corp. Omnibus Equity Incentive Plan.
