Explanation of Responses:

1. The option is vested as to 40,000 shares upon grant on October 31, 2021 pursuant to the Executive Employment Agreement between the reporting person and the issuer dated as of October 31, 2021. The balance of 360,000 shares will vest on a quarterly basis over the three (3) year period following the grant date in equal installments. The reporting person was appointed as Chief Executive Officer of the issuer on November 10, 2021 and as a director of the issuer on December 20, 2021.
