Explanation of Responses:

1. The 1,600 shares of common stock were granted as restricted stock pursuant to the Company Amended and Restated 2003 Stock Incentive Plan. Restrictions lapse as to 400 shares lapsed on each of July 1, 2022, October 1, 2022, January 1, 2023 and April 1, 2023, if she is a director of the Company on those dates.

2. Includes the 1,600 shares of restricted stock granted under the Company equity plans mentioned in Note 1.
