Explanation of Responses:

1. The warrants were issued to MIRALOGX LLC ("MIRALOGX"), a wholly-owned subsidiary of the Bay Shore Trust (the "Trust"), a greater than 10% owner of the Issuer, in connection with an Exclusive License Agreement, dated November 15, 2023, by and between MIRALOGX and the Issuer. The Trust may be deemed to beneficially own the shares held by MIRALOGX but disclaims beneficial ownership except to the extent of its pecuniary interest therein, if any.
