Explanation of Responses:

1. The Form 3 filed on January 27, 2022 reported the granting of 7,693 shares, half of which vested January 17, 2024 and the remaining half vested January 17, 2025. Of the 3,847 shares that vested on January 17, 2025, 1,577 were withheld to cover the related tax liability. Of the 70,529 shares, 25,000 shares are subject to the following vesting requirements: one-third of the shares vests June 13, 2026, one-third vests June 13, 2027, and the remaining third vests June 13, 2028.

2. Option granted as compensation. One-third of the options vests June 13, 2026, one-third vests June 13, 2027, and the remaining third vests June 13, 2028.
