Explanation of Responses:

1. Includes 11,000 shares of restricted stock ("RSU") under the Company's 2016 Employee Equity Compensation Restricted Stock Plan (the "2016 Plan"), which stock restrictions will lapse pro rata on each of January 4, 2023, January 4, 2024, and January 4, 2025, which are subject to forfeiture in the event of termination of employment (except as provided in the RSU agreement). Mr. Pingree retains voting rights over all the shares subject to forfeiture while in escrow.
