| 2. This restricted stock unit award was granted pursuant to the TETRA Technologies, Inc. First Amended and Restated 2018 Equity Incentive Plan. The Award will cliff vest the earlier of the one-year anniversary of the Grant Date and the date of the Company's 2023 annual meeting of stockholders, subject to continued service with the Issuer at vest date.
