Explanation of Responses:

1. Includes14,000 shares of restricted stock ("RSU") under the Company's 2016 Employee Equity Compensation Restricted Stock Plan (the "2016 Plan"), which stock restrictions will lapse pro rata on each of December 1, 2022, December 1, 2023, and December 1, 2024, which are subject to forfeiture in the event of termination of employment (except as provided in the RSU agreement). Mr. Moseley retains voting rights over all the shares subject to forfeiture while in escrow.
