Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one (1) share of the Issuer's Common Stock.

2. Subject to the reporting person's continuous service with the Company, the award shall vest over three (3) years. One-third (1/3rd) of the award shall vest on the first anniversary of the vesting commencement date (February 8, 2023), and thereafter shall vest quarterly on February 15, May 15, August 15 and November 15. The first quarterly vesting will occur on February 15, 2023.

3. The award was fully vested upon the date of grant.
