Item 8.01 Other Events.
Net Asset Value
In accordance with Nuveen Churchill Private Capital Income Fund’s (the “Fund”) valuation policy, the Fund intends to sell its shares on the first business day of each month at an offering price that it believes reflects the net asset value (“NAV”) per share at the end of the preceding month. The table below sets forth the public offering price for the Fund’s Class I shares of beneficial interest, which is approximately equal to its NAV per share.

As of August 31, 2023, the Fund’s aggregate NAV was approximately $285.0 million, the fair value of its investment portfolio was $407.5 million, and it had $131.8 million in secured borrowings outstanding. For Class I shareholders, the Fund generated a 0.85% and 2.70% total net return for the 1-month and 3-months ended August 31, 2023, respectively, a 7.25% total net return for the period beginning January 1, 2023 through August 31, 2023, and a 8.80%1 total net return for the period beginning March 30, 2022 (date on which Class I shares were issued) to August 31, 2023.
Distributions
On September 29, 2023, the Fund’s board of trustees (the “Board”) declared a regular distribution for Class I shares of beneficial interest in the amount of $0.25 per share. The distribution is payable to Class I shareholders of record as of September 30, 2023 and the payment date is on October 27, 2023.
Portfolio Update
As of August 31, 2023, the Fund had debt investments and equity investments in 86 portfolio companies with an aggregate of $413.6 million (at cost) and an average position size of 1.04%.2 The portfolio companies had a weighted average annual EBITDA of $65 million.3 As of August 31, 2023, the Fund’s investments consisted of 76.18% first-lien term loans, 10.49% second-lien debt investments, 11.73% mezzanine debt investments, and 1.60% equity investments (at fair value). As of August 31, 2023, on a fair value basis, 81.71% of the Fund's debt investments bear interest at a floating rate and approximately 18.29% of the Fund's debt investments bear fixed rates. As of August 31, 2023, the weighted average yield on the debt and income producing investments at fair value was 11.80%.
