1. The common stock was purchased pursuant to a Securities Purchase Agreement dated April 22, 2024 and were issued under the Issuer's 2021 Equity Incentive Plan on April 25, 2024.

2. These securities are beneficially owned by Mr. Smith through The Stan V. Smith Trust Dated 1993.

3. The warrants were purchased pursuant to a Securities Purchase Agreement dated April 22, 2024 and were deemed options issued under the Issuer's 2021 Equity Inventive Plan on April 25, 2024. The options are exercisable beginning on the six month anniversary of the issuance date and expire 5-years after the initial exercise date.

4. These securities are beneficially owned by Mr. Smith through The Stan V. Smith Trust Dated 1993.
