| (1) | The Company previously filed a registration statement on Form F-1 (File No. 333-269758) with the U.S. Securities and Exchange Commission (the “SEC”) on February 14, 2023 (the “2023 Registration Statement”), as amended, which proposed to register a maximum aggregate amount of $30,000,000 of securities to be offered by the Company. A registration fee of $3,306 was paid for the maximum aggregate amount of $30,000,000 of securities under the 2023 Registration Statement. On December 28, 2023, the Company filed for withdrawal of the 2023 Registration Statement. Prior to such withdrawal, the 2023 Registration Statement had not been declared effective by the SEC and no securities had been sold pursuant to the 2023 Registration Statement, leaving $3,306 in previously paid fees available for future offset (calculated at the fee rate in effect on the filing date of the 2023 Registration Statement). In accordance with Rule 457(p) under the Securities Act, the Company is using $1,205.89 of the unused filing fees to offset the filing fee payable in connection with this registration statement. Accordingly, no registration fee is due to be paid at this time. |
