Results of Operations and Financial Condition.
On May 16, 2005, Champion Parts, Inc., an Illinois corporation, issued a press release announcing its financial results for the first quarter ended April 3, 2005. A copy of the earnings release is furnished as Exhibit 99.1 to this report and is incorporated herein by reference. On May 11, 2005, the Board of Directors of Champion Parts, Inc. (the “Company”) was informed by Richard Simmons of his desire to resign as Vice President, Chief Financial Officer and Secretary of the Company, effective immediately.
