Explanation of Responses:

1. Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of Issuer common stock.

2. Includes 3,397 shares acquired under Issuer's Employee Stock Purchase Plan on February 28, 2022.

3. The RSUs have vested and settled or will vest and settle, as applicable, as to approximately one half of the RSUs on each of January 1, 2023 and January 1, 2024. The RSUs do not have an expiration date.

4. The RSUs have vested and settled or will vest and settle, as applicable, as to approximately one third of the RSUs on each of the first three anniversaries of January 1, 2022 so that such RSUs will become fully vested on January 1, 2025. The RSUs do not have an expiration date.
