Consists of shares of common stock previously issued to the Reporting Person pursuant to the Company's 2004 Long-Term Incentive Plan, as amended and restated on November 1, 2019, a portion of which remain subject to time-based vesting as follows: (i) 6,584 shares on February 13, 2023, (ii) 17,151 shares on February 15, 2023, (iii) 17,150 shares on February 15, 2024, and (iv) 9,474 shares on February 15, 2025.
