1. Amount includes 5,511 unvested time-based restricted stock units granted pursuant to the Company's 1999 Stock Incentive Plan. Each restricted stock unit represents the right to receive one share of Jacobs common stock. Each grant of restricted stock units vests 25% on each anniversary of such grant.
