1. Each restricted stock unit represents a contingent right to receive one share of Common Stock of Insight Enterprises, Inc.

2. The number of restricted stock units increases or decreases with the Company performance over a one-year measurement period against a specific objective and are adjusted by a multiplier tied to Company performance over a two year measurement period against specific objectives as defined in advance of the grant date, and, subject to achievement of the specific objectives, the restricted stock units will vest in two equal annual installments beginning March 15, 2025.
