Explanation of Responses:

1. This amendment is filed to correct the number of shares of the registrant issued to Micro Hospital Holding LLC in the merger.

2. At the closing of the business combination pursuant to the Agreement and Plan of Merger (the "Merger Agreement"), as described in the Issuer's definitive proxy statement on Schedule 14A filed with the Securities and Exchange Commission on February 14, 2022, as supplemented, the reporting person received 3.571428575 shares of Common Stock of the Issuer in exchange for each membership interest in Nutex Health Holdco LLC.

3. Thomas T. Vo, the Chairman and CEO of the registrant, owns and controls Micro Hospital Holding LLC, the direct owner of the securities of the registrant reported herein.
