1. The shares have not been delivered to the reporting person.

2. Each restricted stock unit ("RSU") represents a contingent right to receive one (1) share of Issuer's common stock.

3. Pursuant to the terms of the award, as a result of the closing of the sale of substantially all of the assets of the Company to Bruker Corporation, which constituted a "Change of Control" under the terms of the RSU award agreement, the vesting of the RSUs accelerated.
