1. Award of Restricted Stock Units granted under the Veradigm, Inc. 2019 Stock Incentive Plan on February 26, 2024 (the "Grant Date"). The grant vests 33% on each of the first three anniversaries of the Grant Date. The applicable portion of the award will not vest or become unrestricted until both (i) the Company becomes current with its reporting obligations under the Securities Exchange Act of 1934, as amended and (iii) the shares of Common Stock are listed on one or more established stock exchanges or national market systems.
