1. The reported shares are owned directly by FSH Seed Capital Vehicle I LLC (the "Seed Vehicle"), which is a wholly-owned subsidiary of Franklin Square Holdings, L.P. ("FSH") (doing business as FS Investments). The reporting person disclaims beneficial ownership of any shares held by the Seed Vehicle and/or FSH that exceed his pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of any of the reported shares for purposes of Section 16 or for any other purpose.
