Explanatory Note:

On May 22, 2024, NWTN Inc. (the “Company”) issued a press release announcing receipt of a deficiency notice from Nasdaq Stock Market (“Nasdaq”) informing the Company that since it has not yet filed its Form 20-F for the period ended December 31, 2023, it no longer complies with the Listing Rule 5250(c)(1) for continued listing. A copy of the press release is attached hereto as Exhibit 99.1.
