Explanation of Responses:

1. Shares were acquired pursuant to a Stock Purchase Agreement dated May 31, 2022 between Landsea Holdings Corporation (the "Seller") and Green Investment Alpha Limited (the "Purchaser"). The Purchaser is 100% directly owned by Heng Yang Holdings Development Ltd., which in turn is 100% directly owned by Mr. Xuefeng Bao, who also has a pecuniary interest in such shares.
