Explanation of Responses:

1. Reflects (a) 9,000 shares of Class A Common Stock held by Chad Whyte, (b) 5,791 shares of Class A Common Stock subject to restricted stock unit award under the Utz Brands, Inc. 2020 Omnibus Equity Incentive Plan (the "Plan") that vest 100% on December 31, 2024 and (c) 11,118 shares of Class A Common Stock subject to restricted stock unit award under the Plan that vest 50% on December 31, 2022 and 50% on December 31, 2023. Each restricted stock unit represents a contingent right to receive one share of Issuer's Class A Common Stock, subject to the reporting persons' continuous service to the Company through such vesting dates and subject to certain conditions outlined in the Plan. The shares describe in clauses (a) and (c) were omitted from the reporting person's original Form 3, and also were omitted from four Forms 4 filed by the reporting person after his original Form 3 was filed.
