Explanation of Responses:

1. Represents the grant of restricted stock units (RSUs). The RSUs vest in three equal installments, with the first installment vesting on February 15, 2024, the second installment vesting on February 15, 2025, and the third installment vesting on February 15, 2026, subject to the reporting person's continued service with Marinus Pharmaceuticals, Inc. (the Issuer). Each RSU represents the right to receive one share of common stock of the Issuer.

2. The option vests and becomes exercisable in 36 equal monthly installments beginning on February 26, 2023, subject to the reporting person's continued service with the Issuer.
