Explanation of Responses:

1. Represents an initial grant of restricted stock units ("Initial RSUs") as compensation for the Reporting Person's service on the Issuer's board of directors. Each Initial RSU represents the right to receive one share of Class A common stock of the Issuer. The Initial RSUs vest ratably on the first three anniversaries of the grant date.

2. Represents a pro-rated annual grant of restricted stock units (the "Annual RSUs") as compensation for the Reporting Person's service on the Issuer's board of directors. Each Annual RSU represents the right to receive one share of Class A common stock of the Issuer. The Annual RSUs vest in full on the first anniversary of the grant date.
