Explanation of Responses:

1. Pursuant to an agreement and plan of merger, dated as of January 7, 2024, common shares of the Issuer were issued to the Reporting Person on March 8, 2024. The acquisition of the acquired company pursuant to the agreement and plan of merger and the issuance of common shares of the Issuer to the Reporting Person in connection therewith were approved by the Board of the Issuer pursuant to Rule 16b-3.

2. This balance includes 305 shares that were acquired through the Biohaven Employee Share Purchase Plan on May 31, 2023, and 1,336 shares that were acquired through the Biohaven Employee Share Purchase Plan on November 30, 2023.

3. These common shares are held in a trust for the benefit of the Reporting Person's family members, excluding the Reporting Person. The Reporting Person's spouse is trustee of the trust. The Reporting Person disclaims beneficial ownership of these securities, and the inclusion of the securities held by the trust in this report and prior Section 16 filings by the Reporting Person is not an admission that the reporting person is the beneficial owner of these securities for purposes of Section 16 or for any other purpose.
