Explanation of Responses:

1. Represents an ad hoc retention award of restricted stock units granted to the Reporting Person under Hayward Holdings, Inc. 2021 Equity Plan (the "2021 Plan"). Each restricted stock unit represents the contingent right to receive one share of the Issuer's common stock, par value $0.001 per share. The restricted stock units vest in two equal installments, on each of September 13, 2027 and September 13, 2029 provided generally that the Reporting Person remains in continuous service with Issuer through the vesting date.
