Explanation of Responses:

1. The option is scheduled to vest and become exercisable annually at a rate of 25% on each anniversary of the grant date commencing on the first anniversary of the grant date, subject to continued employment by the reporting person.

2. The RSUs were granted pursuant to the Company's 2019 Stock-Based Incentive Compensation Plan. Each RSU represents the right to receive one share of Common Stock, subject to adjustment as provided in the Award Agreement.

3. The RSUs are scheduled to vest annually at a rate of 25% on each anniversary of the grant date commencing on the first anniversary of the grant date, subject to continued employment by the reporting person.
