Represents the grant of restricted stock units that vest in four (4) equal annual installments on October 1st of each year beginning on October 1, 2024, subject to Reporting Person's continued service to ZeroFox Holdings, Inc. (the "Issuer"). Each restricted stock unit represents the contingent right to receive one share of the Issuer's common stock.
