EXPLANATORY NOTE
This registration statement on Form S-8 is being filed by Tian’an Technology Group Ltd, a company registered in the British Virgin Islands (the “Registrant”), to register 10,000,000 shares of the Registrant’s ordinary shares, no par value per share (the “Ordinary Shares”), issuable under the Registrant’s 2024 Equity Incentive Plan (the “2024 Plan”).
