Explanation of Responses:

1. Represents the grant of restricted stock units ("RSUs") under the Issuer's 2017 Equity Incentive Plan pursuant to the Issuer's Non-Employee Director Compensation Policy. The RSUs will vest on the earlier of (i) the first anniversary of the grant date, or (ii) the day immediately preceding the next annual meeting of stockholders following the grant date, subject to the Reporting Person's continued service through the vesting date. The RSUs will vest in full immediately prior to the consummation of a change in control of the Issuer. The RSUs will be settled in shares of the Issuer's common stock upon vesting.
