Explanation of Responses:

1. Pursuant to the Restricted Stock Agreement dated April 23, 2024 entered into under the MGO Global Inc. 2022 Equity Incentive Plan, Ms. Hilfiger is being granted shares of Restricted Stock in lieu of the cancellation of her equity award reflected in Table II. The shares of Restricted Stock vest immediately.

2. Pursuant to the MGO Global Inc. 2022 Equity Incentive Plan, Ms. Hilfiger accepted a Notice Of Cancellation Of Equity Award & Grant Of Restricted Stock for this equity award previously reported on Form 4.
