Explanation of Responses:

1. 394,000 shares of common stock of the Issuer is owned by MGOTEAM LLC of which Virginia Hilfiger, our Chief Design Officer, shares control over voting and disposition with Maximiliano Ojeda.

2. Stock option is subject to the following vesting schedule: 100,000 shares vest on January 13, 2023; 100,000 shares vest on January 13, 2024; and 25,000 shares vest on each of the following dates March 31, 2024, June 30, 2024, September 30, 2024 and December 31, 2024.
