Explanation of Responses:

1. Represents shares of common stock withheld by the Company for the payment of taxes due upon the vesting of performance-based restricted stock rights (PBRSRs) granted to the reporting person on February 18, 2020.

2. Includes 80 shares of common stock acquired by the reporting person under the Company's dividend reinvestment plan.

3. With respect to PBRSRs, 2,099 shares were earned out of the 1,785 shares that were granted on February 18, 2020. The PBRSRs vested upon Board approval.

4. Represents time-based restricted stock rights granted to the reporting person by the Company, which vest ratably over a term of three years.

5. Represents shares of common stock withheld by the Company for the payment of taxes due upon the vesting of time-based restricted stock rights granted to the reporting person on February 11, 2022.

6. Represents shares of common stock withheld by the Company for the payment of taxes due upon the vesting of time-based restricted stock rights granted to the reporting person on February 12, 2021.
