EXPLANATORY NOTE
This Form 8-K/A amends the Current Report on Form 8-K (the “Form 8-K”), dated and filed on November 30, 2022, with respect to 3650R 2022-PF2 Commercial Mortgage Trust. The purpose of this amendment is to replace the Non-Serviced PSA for the Concord Mills Whole Loan with the executed version of the Pooling and Servicing Agreement dated November 1, 2022 (the “BANK 2022-BNK44 Pooling and Servicing Agreement”), by and among Morgan Stanley Capital I Inc., as depositor, Wells Fargo Bank, National Association, as general master servicer, KeyBank National Association, as general special servicer, National Cooperative Bank, N.A., as NCB master servicer and as NCB special servicer, Computershare Trust Company, National Association, as certificate administrator, Wilmington Trust, National Association, as trustee, and Park Bridge Lender Services LLC, as operating advisor and as asset representations reviewer. The servicing terms of the BANK 2022-BNK44 Pooling and Servicing Agreement applicable to the servicing of the Concord Mills Whole Loan are similar in all material respects to the servicing terms of the Pooling and Servicing Agreement, but will differ in certain respects, as described in the section captioned “Pooling and Servicing Agreement—Servicing of the Non-Serviced Mortgage Loans” in the Prospectus (SEC File Number 333-255181-02) filed with the Securities and Exchange Commission on November 30, 2022 pursuant to Rule 424(b)(2). No other changes have been made to the Form 8-K other than the changes described above.
