Explanation of Responses:

1. This Amended Form 3 is being filed to include performance stock units as to which the performance criteria had been satisfied as of the date of the Reporting Person's appointment, but which remained subject to service-based vesting requirements, requiring an amendment to the initial Form 3 filed October 21, 2022 (the "Original Filing"). These shares were inadvertently omitted due to an administrative error. All other information in the Original Filing was correct. The amount reported in Column 2 of Table I has been updated to reflect the number of securities held by the Reporting Person as of the date of the Original Filing.
