Explanation of Responses:

1. The shares were sold to cover taxes associated with the settlement of stock units, pursuant to an automatic sale-to-cover instruction in the applicable award agreement, which award agreements intended to satisfy the affirmative defense conditions of Rule 10b5-1(c) were dated November 1, 2022 and April 14, 2023.

2. The number of shares beneficially owned reflects adjustments for the Company's 1-for-8 reverse stock split that was effected on August 31, 2023.
