| 1. Represents shares of Common Stock underlying a time-based restricted stock unit award ("RSU"). The RSU vested as to 42,000 shares on August 15, 2023, and an additional 31,500 shares vested or will vest on the same day of every third month thereafter, until such time as the RSU is 100% vested, subject to the continuing service of the Reporting Person on each vesting date. |
