FILING OF FORM 25 WITH THE U.S. SECURITIES AND EXCHANGE COMMISSION
Almacenes Éxito S.A. (“Éxito” or “the Company”) informs its shareholders and the market in general that in line with the disclosures made on December 20, 2024, it filed a Form 25 today with the U.S. Securities and Exchange Commission (the “SEC”) stating its intention to delist its American Depositary Shares (“ADSs”) from the New York Stock Exchange (“NYSE”). The delisting of the ADSs from the NYSE is expected to be effective ten calendar days after this filing, and the last trading day for the ADSs on the NYSE is expected to be on January 9, 2025. From an after that date, the Company's ADSs will no longer be listed or traded on the NYSE. Beginning on January 10, 2025, the Company’s ADSs will begin trading over-the-counter. The Company has also notified its depositary, JPMorgan Chase Bank N.A. (“JPMorgan”), to terminate its ADS program, which will be effective at the close of business on January 21, 2025. Consequently, the last day of trading for the Company’s ADSs over-the-counter will be January 17, 2025. After the termination of the ADS program, the Company does not intend to seek a listing or registration of its securities on a U.S. national securities exchange or for their quotation in a quotation medium in the United States. JPMorgan has provided a notice of termination to all ADS holders containing relevant information for ADS holders regarding required actions.
