1. Represents a restricted stock unit award that will fully vest upon the earlier of (i) the one-year anniversary of the grant date and (ii) the day immediately prior to the Company's annual meeting of shareholders that next occurs after the grant date.

2. As the founder and managing Partner of Smartfin Capital II CommV ("Smartfin CommV"), the reporting person may be deemed to share beneficial ownership of the Ordinary Shares held by Smartfin CommV. The reporting person disclaims any beneficial ownership of any Ordinary Shares held by Smartfin CommV except to the extent of his ultimate pecuniary interest.

3. As the founder and managing partner of SmartFin Capital NV (private privak) ("SmartFin NV"), the reporting person may be deemed to share beneficial ownership of the Ordinary Shares held by SmartFin NV. The reporting person disclaims any beneficial ownership of any Ordinary Shares held by SmartFin NV except to the extent of his ultimate pecuniary interest.
