Explanation of Responses:

1. The number of shares held directly includes certain shares that were previously held by Stock Awards and that have subsequently vested.

2. The remaining 5,000 shares, granted under Stock Award on April 15, 2018 pursuant to the New York Community Bancorp, Inc. 2012 Stock Incentive Plan, will vest on April 15, 2023.

3. The remaining 12,000 shares, granted under Stock Award II on April 15, 2019 pursuant to the New York Community Bancorp, Inc. 2012 Stock Incentive Plan, will vest in two equal annual installments commencing on April 15, 2023.

4. The remaining 6,000 shares, granted under Stock Award III on January 14, 2020 pursuant to the New York Community Bancorp, Inc. 2012 Stock Incentive Plan, will vest in two equal annual installments commencing on January 14, 2024.

5. The remaining 15,000 shares, granted under Stock Award IV on January 14, 2021 pursuant to the New York Community Bancorp, Inc. 2020 Omnibus Incentive Plan, will vest in three equal annual installments commencing on January 14, 2024.

6. The remaining 20,000 shares, granted under Stock Award V on February 1, 2022 pursuant to the New York Community Bancorp, Inc. 2020 Omnibus Incentive Plan, will vest in four equal annual installments commencing on January 14, 2024.
